Article 1 The name of the Foundation is The Canada Global Children's Culture and Arts Foundation(hereinafter referred to as the Foundation).
Article 2 Purpose of the Foundation: To organize global children's cultural and artistic activities and provide a platform for cultural artists to display their works.
The Foundation abides by Canadian laws, regulations and policies, promotes multicultural values, abides by social ethics and morals, and consciously strengthens the construction of integrity and self-discipline.
Article 3 The address of the Foundation is 8360 Bridgeport Rd #104, Richmond, BC V6X 3C7.
Article 4 The scope of business of the Foundation's public welfare activities.
(1) To organize and carry out cultural and artistic performances, exhibitions, academic conferences and other activities for children around the world.
(2) To organize, attend, and carry out children's cultural and artistic exchange activities around the world.
(3) To establish award rules to reward and promote individuals who have made outstanding contributions to the development of children's culture and arts as well as outstanding academic works and literary works.
(4) To establish children's cultural economic entities and publications and to activate the cultural industry market.
(5) Global children's culture and art consulting and training.
Article 5 The Foundation has a council, the council is generated by the directors.
Article 6 The generation and removal of directors
(1) The first director is nominated by the promoter or major donor and jointly negotiated to determine.
(2) The Council for the renewal of the election, the Council nominated candidates and the organization of all candidates to jointly elect a new session of directors.
(3) The removal, addition of directors should be voted by the Council.
Article 7 rights and obligations of the directors.
(1) The right to vote, the right to be elected and the right to vote.
(2) To participate in the activities of the Council.
(3) The priority of access to the Council's services.
(4) the right to criticize and suggest the work of the Council and the right of supervision
(5) Voluntary membership and freedom to withdraw from membership.
Article 8 The decision-making body of the Foundation is the Board of Directors. The Board of Directors shall exercise the following powers and functions.
(1) To formulate and amend the constitution.
(2) To decide on the plan of business activities, including the plan of fund raising, management and use.
(3) To approve the annual income and expenditure budget and final accounts
(4) To formulate the internal management system
(5) Deciding on the establishment of offices, branches and representative offices
(6) To decide on the appointment of the Under-Secretary-General and the principal officers of the institutions nominated by the Secretary-General
(7) To listen to and consider the work reports of the Secretary-General and to inspect the work of the Secretary-General.
(8) Decide on the separation, merger or termination of the Foundation
(9) Decide other important matters.
Article 9 The Council shall meet at least two times a year. The Council meeting shall be convened and chaired by the Chairman of the Council.
To convene a meeting of the Council, the chairman or the convener shall notify all directors and supervisors 5 days in advance.
Article 10 Council meeting shall be valid only if 2/3 or more directors are present.
The following important matters of the resolution, must be present in the Council vote, more than 2/3 passed to be effective.
(1) The amendment of the constitution.
(2) The major fund-raising and investment activities stipulated in the constitution.
(3) The Foundation's separation, merger
Article 11 Council meeting shall produce minutes of the meeting. If a resolution is formed, the minutes of the meeting shall be formed.
Article 12 The Council has a chairman, co-chairman and secretary-general and other positions. Council Chairman, Co-Chairman and Secretary General and other positions by the Foundation Chairman, Co-Chairman, Secretary General to serve part-time.
Article 13 The Chairman, Co-Chairman and Secretary General of the Council must meet the following conditions.
(1) Have greater influence in the field of business of the Foundation.
(2) Be in good health and able to maintain normal work.
(3) Have full civil capacity.
Article 14 The Foundation Chairman is able to exercise the following powers.
(1) To convene and preside over the meetings of the Council.
(2) Check the implementation of the resolutions of the Board of Governors.
(3) To sign important documents on behalf of the Foundation.
(4) To decide on the employment of full-time staff of offices, representative bodies and entities.
The Foundation shall operate under the leadership of the co-chairs and the Secretary-General, who shall exercise the following powers
(i) Preside over the day-to-day work and organize the implementation of the annual work plan
(ii) Coordinating the work of the branches, representative bodies, and entity agencies.
(iii) To handle other daily affairs.
Article 15 The income of the Foundation shall be derived from
(1) Membership fees.
(2) Donations.
(3) Government funding.
(4) Income from activities or services within the approved scope of business.
(5) Other legitimate income.
Article 16 The Foundation can organize fund-raising and accept donations.
Article 17 Foundation's property and other income is protected by law, any unit, individual shall not be appropriated, private share, misappropriation.
Article 18 The Foundation's property is mainly used for the Foundation's business activities.
Article 19 The Foundation in accordance with the principles of lawful, safe and effective to achieve the preservation and appreciation of funds.
Article 20 The Foundation in accordance with the federal regulations on the public welfare fund organizations to carry out charitable activities of the annual expenditure and annual management costs of the standard implementation.
Article 21 The Foundation to carry out public welfare funding projects, should be open to the community the types of public welfare funding projects carried out and the application and evaluation procedures.
Article 22 The donor has the right to the Foundation to inquire about the use of donated property, management, and to make comments and suggestions. For the donor's inquiry, the Foundation shall promptly and truthfully reply.
Article 23 The Foundation can sign an agreement with the recipient to agree on the mode of funding, the amount of funding, as well as the use of funds and the use of the way.
The Foundation has the right to monitor the use of funding. The Foundation has the right to terminate the funding agreement if the recipient does not use the funding as agreed or in other cases of violation of the agreement.
Article 24 The Foundation shall implement the federal unified accounting system, accounting in accordance with the law, the establishment of a sound internal accounting supervision system, to ensure that accounting information is legal, true, accurate and complete.
The Foundation accepts the tax supervision and accounting supervision carried out by the competent tax and accounting authorities in accordance with the law.
Article 25 The Foundation is equipped with professionally qualified accounting staff. The accountant may not also cashier. When the accountant transfer work or leave, must be clear with the receiver to complete the handover procedures.
Article 26 The Foundation shall be audited annually by the Board of Directors on the following matters.
(1) the previous year's business report and the final account of income and expenditure.
(2) The current year's business plan and budget of income and expenditure.
(3) the inventory of property.
Article 27 The Foundation for the annual review, renewal, replacement of legal representatives and liquidation, shall conduct a financial audit.
Article 28 The Foundation in accordance with the provisions of the annual inspection organized by the registration and management authorities.
Article 29 The Foundation shall be terminated in one of the following circumstances.
(1) Contrary to the purposes set forth in the constitution.
(2) Can not continue to engage in public welfare activities in accordance with the purposes set forth in the constitution.
(3) The foundation of the separation, merger.
Article 30 The Foundation shall be terminated within 15 days after the vote of the Board of Governors, the business unit in charge of the review and consent. Within 15 days after the business unit in charge of the review and consent, apply to the registration and management authorities for cancellation of registration.
Article 31 The Foundation cancellation of registration shall be proceeded after an establishment of a liquidation organization and has completed the liquidation work.
Article 32 This constitution was voted by the third council on January 23, 2023 and came into effect.
Article 33 The right of interpretation of this constitution belongs to the council.
